Sample Contract

At Working Girls Press we’re committed to the ongoing process of transparency and community accountability. We want all potential contributors to know what working with us will look like. Here’s a sample contract that we use for our projects for you to review — please note that certain projects might require slight modifications to the contract, depending on the nature of the work.

Content Release and Consent Agreement

Working Girls Press, a sole proprietorship company (“Press”) with an address at [ADDRESS], “I," or “Me”, desires to use and publicize the text, image(s), video(s), illustration(s) or other content described below: 

[CONTENT DESCRIPTION] 

and provided by ("Name") for advertising, promotion, and other commercial and business purposes.

In exchange for the agreed upon fixed compensation of [AMOUNT] I will gain by participating in Press's project, the receipt and sufficiency of which I hereby acknowledge, I irrevocably give Press my permission to use Content and all associated copies, proofs, finished pictures, negatives, and digital information pertaining to Content for such use and publicity, advertising, or any other purposes as the Press chooses, according to the terms and conditions set forth in this Content Release and Consent Agreement ("Agreement") as follows:

I hereby give and grant the Press, its respective licensees, successors, and assigns (herein collectively called the “Licensed Parties”), the right to use, re-use, publish, re-publish, either separately or together, and copyright Content for Press’s products or services, as follows:

Term of Use: First Rights and Perpetual (Non-Exclusive) Rights.

Scope of Use: Licensed Parties may use the Content in Print, Printed Material, Marketing Collateral, TV Broadcast, Audiovisual works, Out of Home, and all Web, Digital, and Social Media platforms, now known or hereafter created (collectively “Publicity and Advertising Material”).

Compensation: I understand and agree to the terms of monetary compensation previously arranged in exchange for my participation in Press’s project, and for the entire Scope of Use of my Content in any and all Publicity and Advertising Material, as outlined above.

  1. I agree that all Content used by the Licensed Parties are owned by the Licensed Parties within the scope of the original project and that they have the perpetual right to protect their intellectual property rights related thereto including to copyright material containing the same.  

  2. I agree that no Publicity and Advertising Material need to be submitted to me for approval but the Press will consult with me on creative matters concerning the Content as a courtesy. I specifically consent to the use of the Content with other images, text, graphics, film, audio, and audiovisual works for promotional purposes. 

  3. I understand that any and all profit shares will be calculated and communicated to me post-production, after the expenses of the project have been paid. I understand that by signing this I am legally obligated to an equal profit share of said project, though the amount may not be fixed upon signing.

  4. I represent and warrant that I am at least 18 years of age, and I have the full right, power, and authority to enter into this Agreement and grant the rights hereunder. I further represent and warrant to the Licensed Parties that I have provided only true and correct statements and other information in connection with this Agreement, and the Licensed Parties’ use of the Content and the rights and license granted hereunder do not, and will not, violate any right (including without limitation copyright, trademark, trade secret, right to privacy, or right of publicity) of, or conflict with or violate any contract with or commitment made to any person or entity and that no consent or authorization from, or any payment to, any third party is required in connection herewith.

  5. Parties hereby agree that the use of said Content will include both first rights and perpetual yet non-exclusive rights. The contributor agrees to allow the Press to reprint editions, publish on social media, and otherwise use said content in perpetuity, and to not post or publish said Content elsewhere until the publication of the agreed upon work by Press. Afterwards Contributors are able to publish or resell Content to their own discretion after a period of 3 months post-publication has passed. 

  6. The parties agree that they may receive information considered by the other to be confidential or proprietary, including concepts or personally identifying information (hereinafter “Confidential Information”). The parties will ensure that reasonable precautions are taken and shall not disclose to anyone other than authorized parties any Confidential Information unless required by law.

  7. Parties agree that no life rights are included in the scope of this contract, and the Contributor retains all rights to the Content not specified within this Agreement.

  8. Parties agree that no additional profit will be made by the Press from the Content not originally detailed in the scope of this Agreement. If the Press seeks to create any merchandise or otherwise profit from the Content not outlined in the original project, it will seek the Consent from the Contributor and a new Agreement will be issued.

I agree to defend, indemnify, and hold harmless the Licensed Parties from and against all Claims by third parties resulting from my breach or alleged breach of this Agreement or any of the foregoing representations and warranties.

By signing, I acknowledge that I am allowing the License Parties to publicize and commercially use my content as described above. I have read and understood all of the terms of this agreement and that I am giving up the right to sue the Licensed Parties.
